A RESOLUTION
1- 1 Authorizing the granting of certain easements and conveyance
1- 2 of certain state owned real property located in Fulton
1- 3 County, Georgia, to Metropolitan Atlanta Rapid Transit
1- 4 Authority (MARTA) and the acceptance of certain real
1- 5 property owned by MARTA located in Fulton County, Georgia,
1- 6 in consideration therefor; to provide an effective date; to
1- 7 repeal conflicting laws; and for other purposes.
1- 8 WHEREAS, MARTA is the owner of approximately 1.6 acres of
1- 9 real property air rights on the southern boundary of the
1-10 Georgia World Congress Center in Fulton County identified as
1-11 Tract Numbers 4, 5, 6, and 18 on that certain plat of survey
1-12 entitled Part of Project Site GWCC-6, Georgia International
1-13 Plaza Sheet 2 of 5 prepared by Larry Clark, Georgia
1-14 Registered Land Surveyor No. 1709 dated December 12, 1994;
1-15 and the State of Georgia is the owner of a portion of two
1-16 streets known as Elliott Street and New Block Place located
1-17 on the southern boundary of the Georgia World Congress
1-18 Center and approximately 1.9 acres of real property air
1-19 rights located southwest of Western and Atlantic Railroad
1-20 right-of-way between Forsyth Street and including Spring
1-21 Street identified as being parts of Tracts 2, 3, and 4 on
1-22 that certain plat of survey entitled Consolidated Atlanta
1-23 Properties, Inc. prepared by Watts and Browning Engineers
1-24 dated August 3, 1973, in Fulton County; both plats being on
1-25 file in the offices of the State Properties Commission; and
1-26 WHEREAS, custody of the subject state owned real property
1-27 air rights is vested in the State Properties Commission; and
1-28 WHEREAS, the State of Georgia and Georgia World Congress
1-29 Center are desirous of acquiring the above-mentioned MARTA
1-30 owned property in conjunction with the construction of
1-31 Georgia International Plaza; and
1-32 WHEREAS, the exchange of the aforedescribed tracts of real
1-33 property would be beneficial both to the State of Georgia
1-34 and MARTA.
1-35 NOW, THEREFORE, BE IT RESOLVED AND ENACTED BY THE GENERAL
1-36 ASSEMBLY OF GEORGIA:

ARTICLE I
SECTION 1.
2- 1 That, in all matters relating to the conveyance of the
2- 2 herein described state owned real property and the
2- 3 acceptance of the herein described real property owned by
2- 4 MARTA, the State of Georgia is acting by and through its
2- 5 State Properties Commission.
SECTION 2.
2- 6 That the State of Georgia, acting by and through its State
2- 7 Properties Commission, is authorized and empowered to convey
2- 8 by appropriate instrument to MARTA the hereinabove-described
2- 9 air rights to Tracts 2, 3, and 4 of state owned real
2-10 property and that portion of two streets known as Elliott
2-11 Street and New Block Place where said streets adjoin
2-12 property owned by MARTA, and access easements over certain
2-13 state owned property to MARTA owned property lying beneath
2-14 the air rights contemplated herein, and to accept in
2-15 consideration therefor from MARTA the hereinabove-described
2-16 property owned by MARTA.
SECTION 3.
2-17 That the State Properties Commission is authorized to do all
2-18 acts and things necessary and proper to effect such
2-19 exchange.
SECTION 4.
2-20 That such conveyance and acquisition shall be upon such
2-21 other terms and conditions as may be prescribed by the State
2-22 Properties Commission.
SECTION 5.
2-23 That the conveyance herein considered shall contain such
2-24 other reasonable terms and conditions as the State
2-25 Properties Commission shall deem in the best interest of the
2-26 State of Georgia and that the State Properties Commission is
2-27 authorized to use a more accurate description of the
2-28 property, so long as the description utilized by the State
2-29 Properties Commission describes the same conveyance area
2-30 herein considered.
SECTION 6.
2-31 That the conveyance instrument authorized by this resolution
2-32 shall be recorded in the Superior Court of Fulton County and

3- 1 a recorded copy shall be maintained by the State Properties
3- 2 Commission.
SECTION 7.
3- 3 That the authorization in this article to convey the
3- 4 above-described Tracts 2, 3, and 4 of state owned property
3- 5 to MARTA and to accept the above-described property from
3- 6 MARTA shall expire three years after the date that this
3- 7 resolution becomes effective.
SECTION 8.
3- 8 That this resolution shall become effective upon its
3- 9 approval by the Governor or upon its becoming law without
3-10 such approval.
SECTION 9.
3-11 That all laws and parts of laws in conflict with this
3-12 resolution are repealed.
