                             A RESOLUTION 
 
  1- 1  Authorizing the conveyance of certain state owned real 
  1- 2  property located in Chatham County, Georgia; to repeal 
  1- 3  conflicting laws; and for other purposes. 
 
  1- 4  WHEREAS, the State of Georgia is the owner of a certain 
  1- 5  parcel of real property located in Chatham County, Georgia; 
  1- 6  and 
 
  1- 7  WHEREAS, said real property is all that tract or parcel of 
  1- 8  land, lying and being in Brennan Ward in the City of 
  1- 9  Savannah, Chatham County and containing approximately 12.26 
  1-10  acres as shown on a Conceptual Site Plan dated September 1, 
  1-11  1998, and on file in the offices of the State Properties 
  1-12  Commission, and may be more particularly described on a plat 
  1-13  of survey prepared by a Georgia registered land surveyor and 
  1-14  presented to the State Properties Commission for approval; 
  1-15  and 
 
  1-16  WHEREAS, said improved property is under the custody of the 
  1-17  Department of Human Resources and is leased to Goodwill 
  1-18  Industries of the Coastal Empire Inc.; and 
 
  1-19  WHEREAS, Goodwill Industries of the Coastal Empire Inc. is 
  1-20  desirous of acquiring the subject real property in order to 
  1-21  make certain significant capital improvements; and 
 
  1-22  WHEREAS, the Department of Human Resources has no objections 
  1-23  to the conveyance of the subject property. 
 
  1-24  NOW, THEREFORE, BE IT RESOLVED AND ENACTED BY THE GENERAL 
  1-25  ASSEMBLY OF GEORGIA: 
 
  1-26                           SECTION 1. 
 
  1-27  That the State of Georgia is the owner of the 
  1-28  above-described real property located in Chatham County and 
  1-29  that in all matters relating to the conveyance of the real 
  1-30  property the State of Georgia is acting by and through its 
  1-31  State Properties Commission. 
 
  1-32                           SECTION 2. 
 
  1-33  That the above-described real property may be conveyed by 
  1-34  appropriate instrument to Goodwill Industries of the Coastal

  2- 1  Empire Inc. by the State of Georgia, acting by and through 
  2- 2  the State Properties Commission, for a consideration of the 
  2- 3  fair market value of the real property as unimproved; 
  2- 4  provided, however, that if Goodwill Industries of the 
  2- 5  Coastal Empire Inc. should determine the need to convey the 
  2- 6  above-described property to another entity within a period 
  2- 7  of two years from the state's deed of conveyance, Goodwill 
  2- 8  Industries of the Coastal Empire Inc. must first offer to 
  2- 9  convey the above-described property back to the State of 
  2-10  Georgia for a consideration equal to the amount Goodwill 
  2-11  Industries of the Coastal Empire Inc. paid originally for 
  2-12  the property from the state and such further consideration 
  2-13  and provisions as the State Properties Commission shall in 
  2-14  its discretion determine to be in the best interests of the 
  2-15  State of Georgia. 
 
  2-16                           SECTION 3. 
 
  2-17  That the authorization in this resolution to convey the 
  2-18  above-described property to Goodwill Industries of the 
  2-19  Coastal Empire, Inc. shall expire three years after the date 
  2-20  that this resolution becomes effective. 
 
  2-21                           SECTION 4. 
 
  2-22  That the State Properties Commission is authorized and 
  2-23  empowered to do all acts and things necessary and proper to 
  2-24  effect such conveyance. 
 
  2-25                           SECTION 5. 
 
  2-26  That the deed of conveyance shall be recorded by the grantee 
  2-27  in the Superior Court of Chatham County and a recorded copy 
  2-28  shall be forwarded to the State Properties Commission. 
 
  2-29                           SECTION 6. 
 
  2-30  That all laws and parts of laws in conflict with this 
  2-31  resolution are repealed.
