SENATE BILL 23

A BILL TO BE ENTITLED
AN ACT
1- 1 To amend Chapter 2 of Title 14 of the Official Code of
1- 2 Georgia Annotated, relating to business corporations, so as
1- 3 to allow electronic filing of corporate documents with the
1- 4 Secretary of State under procedures to be established by
1- 5 rules and regulations; to provide an effective date; to
1- 6 repeal conflicting laws; and for other purposes.
1- 7 BE IT ENACTED BY THE GENERAL ASSEMBLY OF GEORGIA:
1- 8 SECTION 1.
1- 9 Chapter 2 of Title 14 of the Official Code of Georgia
1-10 Annotated, relating to business corporations, is amended by
1-11 adding at the end of Code Section 14-2-120, relating to
1-12 filing requirements, a new subsection (i) to read as
1-13 follows:
1-14 "(i) Notwithstanding the provisions of this Code section,
1-15 the Secretary of State may authorize the filing of
1-16 documents by electronic means, pursuant to Chapter 12 of
1-17 Title 10, the 'Georgia Electronic Records and Signatures
1-18 Act'; and the Secretary of State shall be authorized to
1-19 promulgate such rules and regulations as are necessary to
1-20 create and implement such electronic filing procedures."
1-21 SECTION 2.
1-22 This Act shall become effective upon its approval by the
1-23 Governor or upon its becoming law without such approval.
1-24 SECTION 3.
1-25 All laws and parts of laws in conflict with this Act are
1-26 repealed.
