A BILL TO BE ENTITLED
AN ACT

To amend Code Section 46-3-291 of the Official Code of Georgia Annotated, relating to the membership of the board of directors of an electric membership corporation, so as to provide that on and after July 1, 2001, there shall be at least one director from each county wherein the electric membership corporation provides service; to provide an effective date; to repeal conflicting laws; and for other purposes.

BE IT ENACTED BY THE GENERAL ASSEMBLY OF GEORGIA:

SECTION 1.
Code Section 46-3-291 of the Official Code of Georgia Annotated, relating to the membership of the board of directors of an electric membership corporation, is amended by striking subsection (a) in its entirety and inserting in lieu thereof a new subsection (a) to read as follows:
"(a) The number of directors of an electric membership corporation shall not be less than three; provided, however, that on and after July 1, 2001, there shall be at least one director from each county wherein the electric membership corporation provides service. Subject to such limitation, the number of directors shall be fixed by the bylaws or a procedure set forth in the bylaws, except that the number constituting the initial board of directors shall be fixed by the articles of incorporation."

SECTION 2.
This Act shall become effective upon its approval by the Governor or upon its becoming law without such approval.

SECTION 3.
All laws and parts of laws in conflict with this Act are repealed.
